India Glycols demerges biopharma business into separate entity Ennature Bio Pharma

India Glycols Limited has completed the demerger of its businesses into three separate entities, creating a dedicated company for its bio-pharma and bio-polymers operations. The restructuring, effective September 1, 2026, follows approval from the National Company Law Tribunal (NCLT).

Under the demerger, the original India Glycols business has been split into India Glycols Limited, IGL Spirits Limited and Ennature Bio Pharma Limited.

From a pharma and life sciences perspective, Ennature Bio Pharma Limited will house India Glycols' bio-pharma and bio-polymers businesses. The entity reported net revenue of Rs. 90 crore in the June 2026 quarter and plans to apply for listing on the BSE and NSE.

India Glycols Limited will retain its chemicals, glycols, bio-glycols, specialty products and industrial gases businesses, while IGL Spirits Limited will house the spirits and bio-fuel operations.

The demerger is designed to give each business a dedicated management structure and strategic focus, allowing capital, investments and resources to be allocated according to the specific growth requirements of each segment.

Under the share entitlement structure, shareholders of India Glycols as of the September 2, 2026 record date will receive one equity share of IGL Spirits for every one India Glycols share held, and one Ennature Bio Pharma share for every three India Glycols shares held.

For instance, an investor holding 300 India Glycols shares will receive 300 shares of IGL Spirits and 100 shares of Ennature Bio Pharma, while retaining the original 300 India Glycols shares.

The creation of Ennature Bio Pharma as a standalone entity marks a strategic step toward sharpening the focus on India Glycols' bio-pharma and bio-polymers businesses, potentially giving the segment greater visibility and flexibility to pursue investments and growth opportunities in the life sciences sector.
