Samsung Biologics to acquire PolyPeptide Group in CHF 1.46 billion deal

Proposed acquisition strengthens Samsung Biologics' presence in peptide therapeutics, including GLP-1s, and expands its footprint across the US, Europe and India


Samsung Biologics has announced an all-cash public tender offer to acquire 100% of the fully diluted share capital of PolyPeptide Group AG, a leading global contract development and manufacturing organization (CDMO) specializing in peptide-based active pharmaceutical ingredients (APIs), in a deal valued at approximately CHF 1.46 billion.

Under the terms of the offer, PolyPeptide shareholders will receive CHF 44.31 per share in cash. The transaction is expected to close by the end of 2026, subject to customary conditions, including a minimum acceptance threshold of 66⅔%, regulatory approvals and other closing requirements.

PolyPeptide's Board of Directors, acting through its independent and non-conflicted members, has unanimously recommended that shareholders accept the offer, stating that the transaction delivers compelling value while positioning the company for its next phase of growth as part of Samsung Biologics' global CDMO platform.

The acquisition marks a strategic expansion for Samsung Biologics beyond its established expertise in monoclonal antibodies and antibody-drug conjugates (ADCs) into the rapidly growing peptide therapeutics market, driven by rising demand for GLP-1-based obesity and diabetes treatments as well as peptide therapies for oncology and other emerging indications.

PolyPeptide brings more than 70 years of peptide API manufacturing experience and has produced over 1,000 therapeutic peptides. The company operates an integrated development-to-commercial manufacturing model with facilities in Sweden, Belgium, France, the United States and India, along with its headquarters in Switzerland and an innovation center in Strasbourg, France.

Samsung Biologics said the acquisition will combine its large-scale biologics manufacturing capabilities with PolyPeptide's specialized peptide expertise to create an end-to-end, multi-modality CDMO platform capable of serving a broader range of pharmaceutical and biotechnology customers.
