Transaction moves closer to completion, pending regulatory approvals and other customary closing conditions
Sun Pharmaceutical Industries Limited announced that the shareholders of Organon & Co. have approved the proposals related to the previously announced merger transaction under which Organon will become a wholly owned subsidiary of Sun Pharmaceutical Holdings USA, Inc., an indirect wholly owned subsidiary of Sun Pharma.
The shareholder approval marks a significant milestone in the completion of the proposed acquisition, which was first announced on April 27, 2026.
The transaction, however, remains subject to the fulfilment of the remaining customary closing conditions, including the receipt of applicable regulatory approvals.
Once completed, the acquisition is expected to strengthen Sun Pharma's global presence and expand its portfolio through the integration of Organon's business.
Sun Pharma had previously outlined the details of the proposed transaction in its announcement made on April 27, 2026.
