QMS Medical Allied Services Limited is set to acquire 100% of Pune-based diagnostics and analytical deep-tech company BeamOptics Scientific Private Limited, in a move aimed at significantly expanding its healthcare product portfolio.

 

QMS has signed a Memorandum of Understanding (MoU) to acquire BeamOptics, which designs and manufactures in-vitro diagnostic (IVD) devices and analytical instruments for healthcare, dairy quality, food safety and pharmaceutical screening.

 

The proposed acquisition comes as QMS sharpens its focus on its product business following a broader restructuring of its operations. The company has demerged its services business into its wholly-owned subsidiary, Saarathi Healthcare, while its Patient Services Program (PSP) portfolio is being combined with private-equity-backed Health Care at Home (HCAH) under Saarathi.

 

The product business will continue to operate under QMS Medical Allied Services, giving the company a more focused platform to expand its technology-led product portfolio.

The BeamOptics acquisition is part of a wider value-creation strategy at QMS, which is seeking to build distinct product and services businesses and unlock growth across both segments.

 

Expanding on a series of strategic initiatives undertaken, Makhija added, “At QMS, our vision since inception was to create a multiple-business-vertical company, which in time could lead to creation of larger value and impact. The proposed acquisition of BeamOptics and the merger of the PSP portfolio with HCAH are a natural extension of our value-unlocking and business leadership strategies. These initiatives would enable our product and services portfolio offerings to evolve to the next stage of growth.”

 

The acquisition remains subject to the mutual fulfilment of agreed terms and conditions and approval by the National Company Law Tribunal (NCLT) of the composite scheme of arrangement involving HCAH.

 

The deal also follows QMS's recent five-year exclusive agreement with German medical technology company HEINE Optotechnik, under which QMS will serve as the sole distributor in India for HEINE's range of primary diagnostic instruments.

 

With the BeamOptics transaction and the restructuring of its services business, QMS is positioning its product operations around a broader mix of proprietary deep-tech capabilities, diagnostic products and distribution-led healthcare offerings.
