The move aimed at creating a focused API business under RPG Active Pharma comes with an initial investment of up to Rs. 243 crore
RPG Life Sciences Limited has signed a Business Transfer Agreement to transfer its Active Pharmaceutical Ingredients (API) business to its wholly owned subsidiary, RPG Active Pharma Limited, on a slump sale basis.
The move is aimed at creating a focused API business with dedicated capital, sharper management attention, and greater strategic flexibility, while allowing RPG Life Sciences to continue strengthening its formulations business.
As part of the restructuring, RPG Life Sciences has entered into a strategic partnership with healthcare-focused private equity investor InvAscent. Funds managed by InvAscent will make an initial investment of up to Rs. 243 crore in RPG Active Pharma, with the agreement providing for total investments of up to Rs. 700 crore by RPG Life Sciences and InvAscent in phases.
The investment will support capacity expansion, product portfolio enhancement, process development, and both organic and inorganic growth initiatives.
RPG Active Pharma has also signed a Share Purchase Agreement to acquire 100% of Actis Generics Private Limited, an API manufacturer based in Visakhapatnam. The proposed acquisition is expected to strengthen the company's manufacturing footprint, broaden its API platform, and support its long-term growth strategy.

The transaction is subject to customary regulatory approvals and the fulfilment of pre-closing conditions.
