Dr Agarwal’s Health Care sees Rs. 2,000 crore block deal as TPG sell 12.6% stake

Dr Agarwal’s Health Care witnessed a block transaction worth approximately Rs. 2,000 crore on Wednesday, August 12, with around 4 crore shares, representing approximately 12.6% of the company’s equity, changing hands.

The transaction followed a marketed block sale by Hyperion Investments Pte. Ltd., a TPG-linked investment vehicle, and Claymore Investments (Mauritius) Pte. Ltd., a Temasek-linked investment vehicle. 

The proposed transaction was initially structured as an 11% stake sale, with an additional 2% greenshoe option, potentially taking the total transaction size to around 13% of the company’s equity.

The shares were marketed at a floor price of Rs. 500 per share, representing a discount of approximately 7.7% to the previous closing price. However, the executed trades were reported at Rs. 506.5 per share, taking the final value of the transaction to approximately Rs. 2,000 crore.

ICICI Prudential, Invesco Mutual Fund, Ninety One, Polar Capital, HSBC Global and Tata Mutual Fund were among the institutional investors participating in the block deal, alongside other investors. Kotak and IIFL Capital were involved in the execution of the transaction along with other intermediaries.

The transaction represents a significant secondary stake transfer by the healthcare company's institutional investors. As of the June quarter, Hyperion Investments held a 23.09% stake in Dr Agarwal’s Health Care, while Claymore Investments held 10.19% in the company, according to shareholding data. 

The base offer represented an 11% stake and was valued at approximately Rs. 1,750 crore, while the additional 2% greenshoe component was valued at around Rs. 250 crore.

The transaction marks a substantial monetisation by the TPG- and Temasek-linked investment vehicles and brings significant institutional participation into the company's shareholder base. The deal also highlights continued investor interest in India's organised eye-care and healthcare services sector.
