All equity shares of Inzpera held by Cipla will simply stand cancelled upon the scheme taking effect, with no allotment of Cipla shares to any external shareholders
Cipla Limited has received approval from the National Company Law Tribunal (NCLT), Mumbai Bench, for the amalgamation of its wholly-owned subsidiary, Inzpera Healthsciences Limited, into the parent pharmaceutical company.
Since Inzpera is a wholly-owned subsidiary of Cipla, the merger will not result in any new share issuance.
All equity shares of Inzpera held by Cipla will simply stand cancelled upon the scheme taking effect, with no allotment of Cipla shares to any external shareholders. The appointed date for the amalgamation has been fixed as April 1, 2026.
In its submissions to the tribunal, the companies cited several rationale points for the consolidation, including pooling of resources and greater operational efficiency; improved cash management and capital allocation for growth; cost savings through elimination of duplicate administrative functions; and reduced compliance burden from having fewer corporate entities
The tribunal has directed Cipla and Inzpera to serve notice of the scheme, along with supporting documents, on a range of regulatory bodies including the Regional Director (Western Region), the Registrar of Companies, income tax authorities, GST authorities, SEBI, the stock exchanges, and the National Pharmaceutical Pricing Authority.
The companies must also file details of contingent liabilities, pending litigation, and outstanding letters of credit, and submit an affidavit of compliance within 10 working days of completing the notifications.
With the tribunal's approval, the long-pending internal restructuring — first initiated in March 2026 — moves closer to completion, folding Inzpera Healthsciences fully into Cipla's corporate structure.
