Combined platform with 55+ centres aims to expand integrated maternity, fertility, neonatal and paediatric care across India


Apollo Health and Lifestyle Limited (AHLL) has combined its standalone Mother & Child and Fertility verticals, operating under the brands Apollo Cradle and Apollo Fertility, with Cloudnine Hospitals, operated by Kids Clinic India Limited.

This development creates one of India’s largest integrated maternity and fertility care platforms.

Following completion of the transaction, AHLL will hold a 9.9 per cent stake in the combined entity, making it the largest non-financial shareholder of the platform. AHLL will also have board representation through a nominee director.

The proposed combination values AHLL’s standalone Mother & Child and Fertility businesses at Rs. 1,550 crore through a mix of cash and equity stake in the combined entity.

The merged platform will operate more than 55 centres across key Indian markets, bringing together the network strengths of both brands to offer integrated maternity, fertility, neonatal and paediatric care services across diverse patient segments.

The combined entity will also have one of the country’s largest senior clinician pools supported by clinical governance structures aimed at delivering seamless patient care across the network. The platform will continue to be managed by a unified professional management team supported by an experienced board.

The combined entity is backed by investors including Temasek Holdings, True North and TPG NewQuest. Apollo Hospitals Enterprise Limited, through AHLL, will become the largest non-financial shareholder, while Cloudnine founders will continue to hold a minority stake.
