Manipal Health Enterprises Limited has signed a Business Transfer Agreement (BTA) with Kindorama Healthcare Private Limited to acquire the entire business operations and assets of Kinder Women’s Hospital and Fertility Centre in Bengaluru for Rs. 130 crore.
The Rs. 130 crore acquisition marks another expansion of Manipal Health's healthcare services footprint in Bengaluru, with the company taking over a 100-bed women's healthcare and fertility facility through an asset acquisition structure.
The agreement was signed on August 17, 2026, with the transaction structured as a cash consideration for an asset acquisition. The proposed acquisition covers the entire operations and assets of the hospital and does not involve acquisition of shares.
Kinder Women’s Hospital and Fertility Centre is located in Doddanekundi Industrial Area, Bengaluru, Karnataka, and is owned by Kindorama Healthcare Private Limited.
The hospital, which was commissioned in 2022, currently has a capacity of 100 beds. Its revenue from operations stood at Rs. 20.75 crore as of March 31, 2026.

The transaction is not classified as a related-party transaction, and the promoter, promoter group and group companies have no interest in the entity being acquired.
The transaction remains subject to certain statutory and customary approvals, primarily relating to the change in ownership of Kinder Hospital. The acquisition is expected to be completed within 90 days of execution of the BTA.
