The Board of Directors of Torrent Pharmaceuticals Limited at its meeting has considered and approved the Scheme of Amalgamation of Curatio Health Care (I) Private Limited, wholly owned subsidiary of the company with Torrent Pharmaceuticals Limited and their respective shareholders and creditors under Sections 230 to 232 of the Companies Act, 2013 and rules framed there under.

The proposed amalgamation would result in synergies of operations, integration of business, concentrated management focus and improved organisational capability, streamlined management structure of the merged business and strengthening of financial position with increased capital base amongst others.

The scheme is subject to statutory and regulatory approvals as may be necessary.
