Cohance Lifesciences shareholders back Umang Vohra as Chairman and Group CEO

Postal ballot also clears remuneration proposal and new ESOP 2026 scheme, strengthening the company’s leadership and talent retention strategy

Cohance Lifesciences Limited, a leading contract research, development, and manufacturing organization (CRDMO), has received shareholder approval for the appointment of industry veteran Umang Vohra as Chairman and Group Chief Executive Officer.

In a postal ballot voting outcome announced on June 14, shareholders approved five key resolutions, including Vohra’s appointment as Chairman with effect from May 1, 2026, and as Group CEO from May 20, 2026. 

The resolutions were passed with the requisite majority through remote e-voting.

The company also secured shareholder approval for the payment of remuneration to Vohra beyond the limits prescribed under Section 197 of the Companies Act, 2013. In addition, investors approved the introduction of the ‘Cohance Lifesciences Employee Stock Option Plan (ESOP) 2026’, its extension to unlisted subsidiary companies, and the grant of stock options exceeding 1% of the company’s issued capital in a financial year.

The approval of the ESOP programme is expected to support Cohance’s long-term talent retention and leadership development strategy as the company expands its global CRDMO capabilities. 

The stock-based incentive plan will cover both the parent company and its unlisted subsidiaries, aligning employee interests with long-term business growth.

According to the voting results, shareholders overwhelmingly supported the appointment of Vohra as Chairman and Group CEO, with more than 99% of valid votes cast in favour of the resolution. The ESOP-related resolutions also received strong shareholder backing.

The company, which recently rebranded from Suven Pharmaceuticals to Cohance Lifesciences, is focused on expanding its integrated CRDMO offerings across drug discovery, development, and manufacturing services for global pharmaceutical and biotechnology companies.
