Jagsonpal Pharma to acquire Group Pharma’s wellness portfolio for Rs. 46.7 Cr

Jagsonpal Pharmaceuticals Limited has signed a Business Transfer Agreement to buy the wellness portfolio of Group Pharmaceuticals Limited for a maximum capped amount of Rs. 46.7 crore via a slump sale.

Under the terms of the deal, Jagsonpal will pay an upfront initial consideration of Rs. 23.7 crore at closing, with an additional performance-linked payout of up to Rs. 23 crore tied to future sales in FY2027–28.

The strategic buyout—slated to close on or before November 1, 2026—is engineered to aggressively expand Jagsonpal's footprint and market reach in high-margin therapeutic areas, particularly women’s healthcare, gynaecology, orthopaedics, and dermatology.

Following the divestment of its wellness segment (which recorded a turnover of Rs. 24.6 crore in FY26), Group Pharmaceuticals plans to refocus its core resources entirely on its oral care business.
