The move to invest in Ampin C&I Power Twelve is expected to increase the use of renewable energy and potentially lower energy costs
Syngene International Limited has invested Rs. 2.52 crore in renewable energy generation company Ampin C&I Power Twelve Private Limited as part of its efforts to increase green power procurement and reduce its carbon footprint.
In a regulatory filing with the BSE and NSE under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, Syngene said it has entered into a Share Subscription and Shareholders Agreement and a Power Purchase Agreement with Ampin C&I Power Twelve for the acquisition of renewable power.
Under the agreement, Syngene will subscribe to 25,20,000 equity shares of Ampin C&I Power Twelve at Rs. 10 per share for a total consideration of Rs. 2.52 crore.
The investment will initially represent 12.44% of the company's paid-up share capital on an undiluted basis. Following planned investments by other entities, Syngene's holding is expected to settle at a minimum of 7.93% on a fully diluted basis.
The shares are expected to be allotted within 30 days of the agreement, with the allotment potentially taking place in multiple tranches.
Ampin C&I Power Twelve was incorporated on April 23, 2025, under the Companies Act, 2013, and is headquartered in Saket, South Delhi.
The company is engaged in renewable energy generation. As of March 31, 2026, it had a net worth of Rs. 687.70 lakh and reported standalone turnover of nil and profit after tax of Rs. 0.31 lakh for FY 2025-26.
Syngene said the investment is structured to maintain its captive consumer status under the Electricity Act, enabling it to procure renewable power directly from the generating company for its own consumption.
The move is expected to support the company's decarbonisation strategy while helping increase the use of renewable energy and potentially lower energy costs.
The company said the transaction does not constitute a related-party transaction. It also confirmed that neither its promoter, promoter group nor group companies have any interest in Ampin C&I Power Twelve.
No government or regulatory approvals are required for the transaction, according to the filing.
